Last updated: October 1, 2026. These terms consist of general provisions that apply to everything, alongside supplementary sections for specific activities: consultancy & training, the webshop with e-learning courses, and web design & digital development. In case of any conflict or inconsistency, a written agreement or quote takes precedence, followed by the specific section, followed by the general provisions.

General Provisions (for all services and products)

1. Who are we?
Evivid, sole proprietorship of Evi Hiels, enterprise/VAT number BE0794471669, Belgium. Contact us via the contact form. You can find our full address at the bottom of this page.

2. Applicability
These terms apply to all quotes, agreements, services, and products provided by Evivid. A client’s general terms and conditions only apply if Evivid expressly accepts them in writing. We distinguish between professional clients (businesses, organizations, freelancers/sole proprietors) and consumers (private individuals purchasing outside their professional trade or business). Nothing in these terms limits the mandatory statutory rights guaranteed to consumers under the law.

3. Quotes & Proposals
Quotes are non-binding and valid for 15 calendar days, unless stated otherwise. An engagement is finalized upon written acceptance (an email confirmation is sufficient). Prices for professional clients exclude VAT; prices for consumers always include VAT. Any work outside the agreed quote will be discussed in advance and billed separately.

4. Payment – Professional Clients
Invoices are payable within 30 calendar days of the invoice date, unless agreed otherwise. In the event of late payment, statutory interest for commercial transactions (Belgian Act of August 2, 2002) is due automatically and without prior notice of default, along with a standard fixed compensation for collection costs of at least €40. Evivid reserves the right to suspend ongoing work until all outstanding invoices are settled.

5. Payment – Consumers
Orders placed in our webshop must be paid in advance. For other consumer invoices, late payment will first trigger a free reminder granting an additional 14-day payment window. Only after this grace period may statutory interest and capped standard recovery fees be charged, within the limits of Book XIX of the Belgian Wetboek van economisch recht (Code of Economic Law).

6. Liability
Evivid performs its services with care, under an obligation of best efforts (inspanningsverbintenis), unless a specific outcome has been explicitly guaranteed. For professional clients, liability is limited to the amount invoiced for the project in question, and Evivid is not liable for indirect damages such as lost profits, data loss, or reputational damage. This limitation does not apply in cases of intentional misconduct, gross negligence, or bodily injury, and does not affect the statutory rights of consumers.

7. Force Majeure
In events of force majeure (such as illness, outages with hosting or software providers, or other circumstances beyond our reasonable control), our obligations are suspended. If the force majeure event lasts longer than 60 days, either party may terminate the agreement without liability for damages. Compensation remains due for work already performed.

8. Intellectual Property
Training materials, methods, copy, illustrations, and any other materials produced by Evivid remain the property of Evivid, unless agreed otherwise in writing. The client receives a right of use strictly for the agreed purpose. For websites, apps, and other custom developments, the specific provisions in the web design section below apply.

9. Confidentiality & Personal Data
Both parties agree to treat all confidential information received during the collaboration with strict confidentiality. Personal data is processed in accordance with the GDPR and our privacy policy below. If Evivid processes personal data on the client’s behalf (e.g., inside a learning platform or webshop we manage), a data processing agreement will be executed where necessary.

10. Complaints
Complaints regarding a service or invoice must be submitted in writing within 14 days of delivery or the invoice date (for professional clients). Consumers retain their statutory timeframes. We always strive to work out a solution together first! Consumers may also reach out to the Belgian Consumentenombudsdienst (Consumer Mediation Service).

11. Governing Law & Jurisdiction
Belgian law applies. Any disputes involving professional clients fall under the exclusive jurisdiction of the courts of the judicial district of Leuven, Belgium. For consumers, standard statutory jurisdictional rules apply.

Consultancy, Training & Learning Journeys

1. Applicability
This section applies to consultancy, L&D advisory services, coaching, training, workshops, and custom learning journeys.

2. Execution
Evivid carries out the assignment according to the arrangements in the quote. The client will promptly provide all necessary information and cooperation. Any delays resulting from missing input may impact the project timeline and pricing.

3. Rescheduling and Cancellations
An appointment or session can be rescheduled free of charge up to 48 hours in advance. For cancellations made after this window, the session may be billed. If the client cancels a training session or trajectory, hours already worked and expenses already incurred may be charged, plus: 30% of the remaining price for cancellations less than 14 days before the start date, and 50% for cancellations less than 7 days prior. If Evivid is unable to host a session, we’ll work together to find a new date.

4. Materials
Course materials are intended for internal use by the client’s designated participants and may not be distributed, sold, or used as the basis for independent training programs without prior written consent.

Webshop: E-Learnings and Digital Products

1. Applicability
This section applies to digital products in our webshop, such as online courses, e-learnings, e-books, downloads, and printables.

2. Orders and Pricing
The price at the time of purchase applies and includes VAT for consumers. Following payment, you’ll receive an email confirmation containing a download link or access to your online course. Please make sure your email address is spelled correctly when checking out!

3. Access
Access to an online course is strictly personal. Unless stated otherwise on the product page, you receive at least 12 months of access. Sharing your login credentials is not permitted.

4. Right of Withdrawal
Consumers normally enjoy a 14-day right of withdrawal. For digital content not supplied on a tangible medium, that right expires as soon as delivery (download or access) begins, provided you gave your prior express consent during checkout and acknowledged that you thereby waive your right of withdrawal (art. VI.53, 13° Belgian Code of Economic Law / WER). You will check this box at checkout, and we’ll confirm it in your order confirmation. Professional buyers do not have a right of withdrawal.

5. Conformity & Functionality
If a product isn’t working as described (e.g., a broken link or a module that won’t load), please let us know as soon as possible. We will fix it or restore your access. If we’re unable to resolve it within a reasonable timeframe, as a consumer you are entitled to a price reduction or refund in accordance with statutory digital content regulations.

6. Usage
Products are for personal use, or for internal use within your organization if you purchased an organization license. Sharing, copying, reselling, or publicly displaying our materials is not allowed without prior written consent.

Web Design & Digital Development

1. Applicability
This section applies to designing, building, customizing, and maintaining websites, webshops, learning platforms, apps, and digital tools, as well as related services (such as hosting, domain names, copywriting, SEO, integrations, and training).

2. Quotes and Scope
The quote details what will be built, the number of feedback rounds, and the project timeline. A quote remains valid for 15 calendar days. Additional feature requests or modifications requested after design approval will be discussed in advance and billed separately.

3. Deposits and Payment
Unless agreed otherwise, Evivid invoices 50% at project kickoff and 50% upon delivery. Larger projects may be invoiced in milestones. Maintenance plans and subscriptions are invoiced in advance on a monthly or annual basis.

4. Client Collaboration
The client agrees to provide copy, images, logos, account access, and feedback in a timely manner. If required input is delayed by more than 30 days, Evivid reserves the right to consider the project delivered and invoice the remaining balance, or pause the project. The client guarantees they hold all necessary rights to any materials provided.

5. Delivery and Acceptance
Following delivery, the client has 14 days to report any bugs or defects. After this period, or as soon as the site or tool goes live, the work is deemed accepted. Bugs that arise within 30 days of delivery and are directly attributable to our work will be resolved free of charge.

6. Ownership
Upon full payment, the client becomes the owner of the custom design and content produced specifically for them. Until full payment is received, all deliverables remain the property of Evivid. Third-party themes, plugins, software, fonts, and stock media are subject to their respective vendors’ license terms. General building blocks, code snippets, and methods created by Evivid may be reused. Evivid may showcase the project in its portfolio, unless the client explicitly requests otherwise.

7. Third-Party Services
Hosting, domain names, WordPress, WooCommerce, payment gateways, AI tools, and other third-party platforms are provided by independent vendors. Evivid cannot be held liable for their downtime, pricing updates, or revised terms. Whenever possible, domain names and external accounts will be registered directly in the client’s name.

8. Legal Website Requirements
The client remains solely responsible for the content on their site and for complying with legal requirements, including privacy and cookie policies, mandatory company details, general terms of sale, and, where applicable, digital accessibility standards (such as the European Accessibility Act). Evivid can provide guidance and assistance, but does not provide formal legal advice.

9. Maintenance and Backups
Without an active maintenance agreement, Evivid is not responsible for ongoing updates, security, or backups once the site is delivered. If a maintenance contract is in place, the specific terms outlined in that agreement apply. Maintenance plans run on an annual basis and automatically renew unless either party provides written notice of cancellation at least one month before the renewal date.

By using our services or purchasing our products, you agree to these terms. Don’t hesitate to reach out if anything is unclear!
